Terms of Service
1. Acceptance of Terms
By accessing or using the Dentelyx platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.
The Service is provided by Dentelyx.
If you do not agree to these Terms, you may not use the Service.
2. Services Provided
Dentelyx provides a SaaS platform designed for dental clinics that includes:
- Automated SMS follow-up to missed callers
- AI-powered patient conversation and enquiry qualification
- Appointment booking workflow management
- Lead tracking and partner dashboard
- Revenue reporting and recovery analytics
- Google Calendar integration (where configured)
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
3. User Responsibilities
You agree to:
- Provide accurate and complete information when registering for the Service
- Keep your account credentials secure and notify us immediately of unauthorised access
- Use the Service in compliance with all applicable laws, including data protection law
- Obtain appropriate consents from patients before processing their data through the Service
- Not use the Service for any unlawful, harmful, or deceptive purpose
- Not attempt to reverse engineer, copy, or create derivative works from the Service
As a clinic partner, you are the data controller of patient data processed through Dentelyx. You are responsible for ensuring compliance with UK GDPR and ICO obligations in relation to patient data.
4. Subscription Fees
Access to the Dentelyx platform is subject to a monthly subscription fee of £299 per month (plus VAT where applicable), billed in advance on a rolling monthly basis.
Subscription fees are non-refundable except where required by law. We reserve the right to change subscription pricing with at least 30 days' written notice.
Failure to pay fees when due may result in suspension or termination of your account.
5. Setup Fees
A one-time setup fee of £299 (plus VAT where applicable) is payable upon onboarding. This fee covers professional implementation, clinic configuration, workflow setup, testing, and onboarding support.
The setup fee is non-refundable once onboarding has commenced.
6. Intellectual Property
All intellectual property rights in the Dentelyx platform, including software, algorithms, designs, and documentation, are owned by or licensed to Dentelyx.
We grant you a limited, non-exclusive, non-transferable licence to access and use the Service for your internal business purposes during your subscription period.
You retain ownership of all data you input into the Service. By using the Service, you grant us a limited licence to process that data solely to provide the Service to you.
7. Limitation of Liability
To the maximum extent permitted by law, Dentelyx shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service.
Our total liability to you for any claim arising under or in connection with these Terms shall not exceed the total fees paid by you to us in the three months preceding the claim.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.
8. Service Availability
We aim to provide a reliable Service but do not guarantee 100% uptime. We will use reasonable endeavours to notify you in advance of planned maintenance. We are not liable for any losses arising from service interruptions outside our reasonable control.
9. Termination
Either party may terminate the subscription with 30 days' written notice. We may terminate or suspend your account immediately if you materially breach these Terms or fail to pay fees when due.
Upon termination, your access to the Service will cease. We will retain your data for a period of 90 days following termination, after which it will be securely deleted, unless you request earlier deletion or we are required to retain it by law.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
11. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated with at least 14 days' notice via email or in-platform notification. Your continued use of the Service following the effective date of updated Terms constitutes acceptance.
